CLIF BAR BOSTON SEGMENT CHALLENGE PRIZE OFFER

OFFICIAL RULES 

NO PURCHASE NECESSARY TO PARTICIPATE. PARTICIPATION IS SUBJECT TO PRIZE AVAILABILITY AT THE TIME OF REDEMPTION. PRIZE QUANTITIES ARE LIMITED; SEE DETAILS BELOW.

1. Overview/Offer Period: The CLIF BAR Boston Segment Challenge Prize Offer (the “Offer”) sponsored by Clif Bar and Company ("Sponsor") will take place in Back Bay in Boston, MA during the Boston Marathon on [DATE] beginning at [TIME] on [DATE] and ending at [TIME] on [DATE] or when supplies of prizes are exhausted, whichever occurs first (the “Offer Period”).

The Offer is subject to all applicable federal, state and local laws and regulations. Participation in the Offer constitutes entrant’s full and unconditional agreement to abide by and be bound by these Official Rules and Sponsor’s decisions, which shall be final and binding in all matters related to the Offer. 

2. Eligibility: The Offer is open only to legal residents of the 50 United States and District of Columbia who are at least eighteen (18) years old as of date of entry (at least nineteen (19) years old of a resident of AL or NE) and who completed the Memorial Drive River Basin Straightaway segment of the CLIF BAR Boston Segment Challenge (the “River Basin Segment”). Employees, officers, directors and representatives of Sponsor, its affiliates, subsidiaries, promotion and advertising agencies, anyone involved with the design, execution or fulfillment of the Offer, and members of the immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are not eligible to participate in the Offer. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification.

3. How to Participate: If you meet the eligibility requirements in Rule 2, above, present the digital badge you received for completing the challenge to the Sponsor’s representative (the “Rep”) at “The Clif Bar” kiosk located at [INSERT ADDRESS OR CROSS STREETS] during the Offer Period, while supplies last. You will receive one (1) randomly determined prize from the Rep. (See Prize descriptions in Rule 4, below.) Limit one (1) prize per person during the entire Offer Period. 

4. Available Prizes, Quantities and /Approximate Retail Value (“ARV”):

The prizes consist only of the items described above. Prizes are non-transferable; no cash redemption or other substitutions allowed. Recipients of prizes are responsible for all applicable federal, state and local income taxes on the prizes. All prizes will be awarded provided they are claimed properly in accordance with these Official Rules. When prize supplies are depleted, no further prizes will be awarded.

5. Prize Conditions: 

No prize will be awarded if a participant: (a) does not meet the eligibility requirements set forth in Rule 2, above; (b) fails to complete the River Basin Segment; (c) fails to present a valid digital badge to the Rep; or if the Rep, in his/her sole discretion; or (d) is determined, by the Rep, to be ineligible to receive a prize for any reason, including but not limited to failure to comply with any provisions of these Official Rules. Receiving a prize is contingent upon fulfilling all requirements of these Official Rules. 

No more than one (1) prize will be awarded per person.

6. Conditions of Participation: Any attempt to use multiple/different identities or any other methods to obtain more than one (1) prize during the Offer Period will result in disqualification. 

7. Limitations of Liability/Tampering: Sponsor is not responsible for: (a) digital badges that are lost, stolen, incomplete, illegible, damaged, garbled, or destroyed; (b) deletion, theft, alteration or destruction of, or unauthorized access to, digital badges; (c) causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Offer; (d) any typographical or other error in any printing or advertising relating to the Offer, in the administration or execution of the Offer, or in the announcement of the prizes; or (e) cheating or fraud by any participant. 

If for any reason the Offer cannot be executed as planned, including but not limited to any printing, administrative, human or other error of any kind, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of the Offer, or if the Offer is compromised or becomes corrupted in any way, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Offer without notice. If the Offer is terminated prior to the end of the Offer Period, no further prizes will be awarded. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the prize award process or the operation of the Offer in any way, or who acts in violation of these Official Rules or in a disruptive manner. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that term. 

ANY ATTEMPT TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE OFFER MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES OR OTHER REMEDIES FROM ANY PERSON RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. 

By participating in this Offer, each participant agrees to indemnify, release, defend and hold harmless the Sponsor, Mondelēz Global LLC, their respective parent companies, subsidiaries, affiliates and agencies, and the officers, directors and employees of each of the foregoing (collectively, the “Released Parties”), from and against any and all liability for loss, harm, damage, injury, cost or expense whatsoever arising from or in connection with participation in the Offer or the acceptance, possession and/or use/misuse of a prize. 

By accepting a prize, each winner acknowledges that the Released Parties have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize or any portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose. 

Sponsor reserves the right, at its sole discretion, to amend these Official Rules for clarification purposes, at any time, in any way, and without prior notice, provided such amendments do not materially affect the terms and conditions of the Offer.

8. Publicity: Acceptance of a prize constitutes consent to Sponsor’s use of recipient’s name, likeness, photograph, voice, recorded image, opinions, hometown and/or state for promotional purposes in commerce and in any media, worldwide, (including but not limited to the internet, social media and television) without limitation and without further notice, consent or compensation, except where prohibited. 

9. Disputes/Venue/Governing Law: By participating, entrants agree that: (a) any and all disputes, claims and causes of action arising out of, or connected with, this Offer or any prize shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal, state or local court located in New York; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with participating in this Offer, but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will a participant be permitted to obtain awards for, and participant hereby agrees to waive, all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO RELEVANT PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU. 

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Offer, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of New York or any other jurisdiction), that would cause the application of the laws of any jurisdiction other than New York.

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Offer-related materials or made by any representative of Sponsor, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

10. Severability: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
