CLIF BAR RAISE YOUR BAR REWARDS AND SWEEPSTAKES 

OFFICIAL RULES

Program Overview: During the Program Period (defined below), eligible participants may register and create a free CLIF Rewards Account (“Account”) and link their account to their Strava Account. They will earn “Points” for each minute of exercise they log while connected to their Strava Account and will be eligible to earn “Rewards,” while supplies last, when they reach designated Point requirements for the first five (5) Reward tiers and will receive one (1) entry into a prize drawing for the final two (2) Reward Tiers. There is no purchase or exercise required to participate in the Sweepstakes drawing for the final two (2) Reward Tiers. (See Section 3 (B) for complete details.)

1. Program Timing: The CLIF Bar Raise Your Bar Rewards and Sweepstakes (the “Program”), sponsored by Mondelēz Global LLC (“Sponsor”) begins at 2:00:01 p.m. Eastern Time (“ET”) on July 23, 2025 and ends at 11:59 p.m. ET on October 30, 2025 (the “Program Period”).

2. Eligibility & Registration:

Eligibility: The Program is only open to individuals who are legal residents of the fifty (50) United States (and the District of Columbia), who are at least eighteen (18) years old (at least nineteen (19) if a resident of Alabama or Nebraska) at the time of registration. Employees, officers and directors of Sponsor, Merkle Inc., (“Sweepstakes Administrator”), HMT Associates, Inc., Strava Inc., Goodness Inc. and each of their respective parent companies, affiliates, subsidiaries and agencies (collectively “Program Parties”), and members of the immediate families (defined as including spouse, biological, adoptive and stepparents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or persons living in the same household (whether related or not) of any of the above. are not eligible to participate in the Program. The Program is void where prohibited. 

Create a CLIF Bar Account: Visit ClifBar.com/Raise-Your-Bar-Rewards and follow the instructions to accurately complete and submit the registration form, including your full first and last name (initials are not sufficient), and a valid email address to create your CLIFBar.com Account (herein “Account”). If you already have a CLIFBar.com account, use the same email address when you register.to participate in this Program. You will be required to confirm agreement with these Program Rules, as well as the CLIFBar.com Terms of Use and Privacy Policy. 

Connect your CLIF Bar ACCOUNT to your Strava Account: Next, connect your CLIFBar Account to your Strava Account by clicking on the “connect button” on the registration page. If you do not have a Strava account, you can create one for free on desktop at: Strava.com or by downloading the Strava Mobile App (available at the Apple Store or Google Play). Your Strava Account is subject to its Terms of Service.

Participant’s Personal Information: Sponsor will use the personal information collected in connection with the Account and/or this Program set forth in its Privacy Policy, Strava will use your personal information as set forth in its Privacy Policy.

Participant’s Account Responsibility: Participant is responsible for maintaining the confidentiality of and for restricting access to the Account. Participant agrees to accept responsibility for all activities that occur within the Account. Without limiting any other remedies or the termination provision below, Sponsor may suspend or terminate a participant’s Account or deem a participant ineligible (a) to participate in the Program and (b) to receive any Rewards if Sponsor reasonably suspects or determines that a participant has engaged in fraudulent or illegal activity or any action that violates the intent of these Official Rules. 

Participant Account Termination: Participant may disconnect their Strava Account from their Account at any time. By taking this action, Participant will lose Points they have earned and end their participation in this Program and will not be eligible to receive any additional Rewards. If a Participant who disconnects their Strava account has reached any Reward Tiers and claimed/received any Rewards, they will keep the Rewards they have earned, including Sweepstakes entries. If a Participant elects to reconnect their Strava Account, they will restart with zero Points. 

Limit: One (1) Account per person. 

2. Earning Points 

For every minute of exercise that you log/record within your Strava Account during the Program Period, you will earn one (1) Point. The Program allows Participants to earn Rewards (while supplies last) for logging up to six thousand (6,000) Points and earn Sweepstakes entries for logging another two thousand Points (cumulatively up to eight thousand (8,000) Points). Earning more than eight thousand (8,000) Points will not provide any additional value.

Participants are expected to follow the Strava Community Standards, including obeying laws related to their activities, staying safe, and not cheating when they are logging/recording exercise activities. Any use of automatic, programmed, or similar entry methods to create fabricated exercise activity, or the use of any other fraudulent means to accrue Points are prohibited and will result in forfeiture of Points and Rewards/Sweepstakes Entries earned as well as termination of your participation in this Program.

3. Redemption of Points For Rewards and Sweepstakes Entries / No Point Necessary Method to Receive Sweepstakes Entries

Automatic Point Redemption: When a participant earns sufficient Points to reach the Point values for each of the Reward Tier or Sweepstakes entries listed in the table below, participant will receive an automatic email from Sponsor advising them of this achievement: 

Sponsor’s email will advise whether or not supplies remain of each applicable Reward when a participant reaches any of the below Point levels. If supplies remain, Sponsor’s email communication will advise whether there will be additional claim requirements in order to receive the Reward. Participants will be required to provide their home address (no P.O. Boxes permitted) to claim the Fitness Watch. Participants who earn the Stationary Exercise Bike prize will be required to complete a Declaration of Compliance, Liability Waiver and Publicity Release (which includes an IRS W-9), herein “Declaration.” Participants will receive instructions from the Sweepstakes Administrator about these requirements and will have three (3) days to complete and return the required information. Failure to timely provide the requirement information will result in forfeiture of this Reward. 

There is no limit to the number of participants who can receive the Sweepstakes Entries for the two (2) Sweepstakes Prizes.

B. How to Receive Sweepstakes Entries without earning Required Points: Print your name, address, phone number, email address and date of birth on a piece of paper and mail it in an envelope with proper postage to The Clif Raise Your Bar Rewards, c/o Merkle Inc., P.O. Box 5008, Department 867283,, Kalamazoo, MI 49003-5008.and include SHOES on the outside of the envelope to get one (1) Entry into the Shoes for Life prize drawing or SPONSORSHIP on the outside of the envelope to receive one (1) Entry into the Sponsorship prize drawings. If you wish to enter both prize drawings, you must submit two (2) separate requests. All mail-in requests must be sent/postmarked by October 30, 2025 and received by November 6, 2025. All requests become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of sending will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entry requests, which will be disqualified.

Limit: Each participant can earn or receive up to two (2) Sweepstakes entries (one (1) for the Sponsorship prize and one (1) for Shoes for Life prize) by any combination of the above methods. 

4. Sweepstakes Drawing / Winner Requirements

Sweepstakes Administrator is an independent organization whose decisions as to the selection of the potential Sweepstakes winners are final and binding. Sweepstakes Administrator will select the potential winners for the Sponsorship prize and the Shoes for Life prizes in a random drawing from among all applicable entries earned/received during the Program Period, on or around November 13, 2025. Sweepstakes Administrator will notify each potential winner by email. Each potential winner will be required to sign and return a Declaration which must be received by Sweepstakes Administrator within three (3) days of the date notice or attempted notice is sent, in order to claim his/her prize. If a potential winner of any prize cannot be contacted, fails to sign and return the Declaration or provide any other requested information within the required time period, or if a prize is returned as undeliverable, the potential winner forfeits the prize. Receiving a prize is contingent upon compliance with these Official Rules. In the event that a potential winner is disqualified for any reason or forfeits a prize, Sponsor will award the applicable prize to an alternate winner in a random drawing from among all remaining eligible entries. If necessary, only three (3) such alternate drawings will be held, after which the prize will not be awarded if it remains unclaimed. Odds of winning a Sweepstakes prize depend on the number of eligible entries earned and received for each prize drawing during the Program Period. 

5. Rewards & Sweepstakes Prizes, Quantities Available, Approximate Retail Values (“ARV”):

For All Rewards and Prizes: No substitutions or transfers of Rewards/Sweepstakes prizes permitted except at the discretion of the Sponsor; Rewards/Sweepstakes prizes are not redeemable for cash. Sponsor reserves the right to substitute a Reward or Sweepstakes prize of equal or greater value if a Reward or Sweepstakes prize becomes unavailable. Substitution is only offered if one of the stated quantities of the Rewards offered by this Program should become unavailable; Substitution is not offered merely because the Rewards are depleted as expected in this Program. All Rewards and Sweepstakes prizes are awarded “as is” without warranty of any kind, express or implied, on the part of the Sponsor. Participants agree to look to the manufacturer or supplier of the Reward/ Sweepstakes prize, and not the Sponsor or Sweepstakes Administrator, for any warranty on the Reward/Sweepstakes prize or for any damages arising out of acceptance or use of the Reward/Sweepstakes prize. Participants are responsible for all taxes and fees associated with Reward/Sweepstakes prize receipt and/or use. Each participant who receives Reward/Sweepstakes prizes that cumulatively are valued at $600 or more will receive an IRS Form 1099 MISC reporting the actual value of the cumulative value of all prize(s) received. All Rewards and Sweepstakes prizes will be fulfilled within approximately eight (8)-ten (10) weeks after the conclusion of the Program. 

Total Value of Sweepstakes Prizes: $46,100.

Limits: Each participant may earn/win one (1) of each Reward and Sweepstakes prize.

6. Point Value & Expiration & Account Deactivation: 

Points do not constitute property, do not entitle participant to a vested right or interest and have no cash value. As such, Points are not redeemable for cash, transferable or assignable for any reason, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. The sale or transfer of Points is strictly prohibited. Points may not be sold on any secondary market, and any transfer of Points to a secondary market shall be deemed void. Any Points remaining in a participant’s Account that have not been redeemed for a Reward/Sweepstakes Entry at the end of the Program Period will automatically expire without compensation.

7. General Terms and Conditions: 

General Conditions: The Program is subject to all applicable laws and regulations. By registering, participant agrees to abide by and be bound by these Official Rules. The decisions of the Sponsor, and where applicable the Sweepstakes Administrator, shall be final in all matters. Sponsor reserves the right to cancel, suspend and/or modify the Program, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Program, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Program (each, a “Discontinuance”), including but not limited to fulfillment of the Rewards and Sweepstakes prizes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the Rewards in a manner that best fits the original intent of the Program and reserves the right to hold a random drawing from among all eligible entries received up to the date of Discontinuance to award Sweepstakes prizes. In no event will more prizes than are stated in these Official Rules be awarded. If, for any reason, more Sweepstakes prize notifications are sent (or more claims are received) than the number of Sweepstakes prizes offered as set forth in these Official Rules, Sponsor reserves the right to award the intended number of prizes through a random drawing from among all eligible prize notifications/claims received.

Account Termination: Sponsor reserves the right, in its sole discretion, to disqualify a Participant and terminate their Account if it finds the participant to be undermining the legitimate operation of the Program or acting in violation of these Official Rules, to be tampering with the Point earning process or any other aspect of the Program, or to be acting in a disruptive manner. Any of the above actions may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. I. 

Publicity: Participation shall constitute and signify each participant’s agreement and consent that Sponsor and its designees may use the winner’s name, likeness, photo, and/or Reward or prize information in connection with the Program for promotional, marketing, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet and social media platforms, without limitation and without further payment, notification, permission or other consideration. 

Liability Waiver: BY REGISTERING IN THIS PROGRAM, PARTICIPANTS UNDERSTAND THAT PARTICIPATION IN EXERCISE ACTIVITIES HAS RISKS, INCLUDING BUT NOT LIMITED TO INJURY, ILLNESS, DEATH, AGGRAVATION OF PRE-EXISTING CONDITIONS, OR OTHER HEALTH COMPLICATIONS. Each participant agrees to assume responsibility for these risks, including but not limited to injuries associated with exercise, illness, aggravation of pre-existing conditions, or other health complications, and hereby waives and releases any and all rights, demands, losses, liabilities, claims, and causes of action whatsoever that participant may now or hereafter be entitled to assert, including, but not limited to, monetary or other damages, injury, damage to property or person, including death, loss of enjoyment, other harm or loss of any nature whatsoever caused by, contributed to, or arising out of participation in this Program.

Release: By entering the Sweepstakes, participants agree to release and hold harmless Program Parties, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance, use, inability to use, misuse or redemption of any prize, if applicable (including any injury or harm related thereto).

Limitations Of Liability: The Released Parties are not responsible for: (a) any incorrect or inaccurate information, including but not limited to Points totals, whether caused by printing errors or by any of the equipment or programming associated with or utilized in the Program, or provided by participants; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections to the internet, in phone lines, or network hardware or software; (c) unauthorized human intervention in any part of the Program, including but not limited to the Point earning process; or (d) technical or human error which may occur in the administration of the Program, including but not limited to the processing of Sweepstakes entries and Rewards requests. 

Disputes: Participant agrees that: (i) any and all disputes, claims, and causes of action arising out of or connected with this Program or any Rewards or Sweepstakes prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan or the appropriate Michigan state court located in Oakland County, Michigan; (ii) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Program, but in no event attorneys' fees; and (iii) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives, all rights to claim punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the participant and Sponsor in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed as if the invalid or illegal provision were not contained herein.
